1. Acceptance of Terms
Welcome to SolsticeSoft (“we,” “us,” “our,” or the “Platform”). These Terms and Conditions (“Terms”) constitute a legally binding agreement between you and SolsticeSoft governing your use of our website at solsticesoft.ca and our immiPlus lawyer platform (collectively, the “Services”).
By accessing or using our Services, you agree to:
- Comply with these Terms in their entirety
- Be bound by our Privacy Policy (incorporated by reference)
- Accept any updates or modifications to these Terms
Important: If you do not agree to these Terms, you must immediately discontinue use of our Services. Continued use constitutes acceptance of any modifications.
2. Description of Services
2.1 Platform Overview
SolsticeSoft operates a technology platform that:
- Connects potential clients with licensed immigration lawyers in Canada
- Provides immigration assessment tools and forms for clients
- Offers subscription-based access to the immiPlus lawyer dashboard
- Utilizes AI-powered analysis to evaluate immigration applications
- Facilitates communication and document management between lawyers and clients
2.2 Not a Law Firm
Disclaimer: SolsticeSoft is a technology platform and is NOT a law firm. We do not provide legal advice, legal representation, or legal services. All legal services are provided directly by independent licensed lawyers who use our platform.
2.3 No Attorney-Client Relationship
Use of our platform does not create an attorney-client relationship between you and SolsticeSoft. Any attorney-client relationship exists solely between you and the individual lawyer you engage through our platform.
3. Eligibility and Account Registration
3.1 Age Requirement
You must be at least 18 years of age to use our Services. By using our Services, you represent and warrant that you meet this age requirement.
3.2 Lawyer Registration Requirements
To register as a lawyer on our platform, you must:
- Be a licensed immigration lawyer in good standing with a Canadian provincial law society
- Maintain valid professional liability insurance
- Provide accurate and complete registration information
- Comply with all applicable laws and professional regulations
- Maintain the confidentiality of your account credentials
3.3 Account Security
You are responsible for:
- Maintaining the security and confidentiality of your account credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access or security breach
4. Lawyer Obligations and Conduct
4.1 Professional Standards
Lawyers using our platform must:
- Comply with all applicable laws, regulations, and professional codes of conduct
- Maintain their professional license and insurance in good standing
- Provide competent and diligent representation to clients
- Maintain client confidentiality and privilege
- Avoid conflicts of interest
- Communicate honestly and transparently with clients
4.2 Independent Contractors
Lawyers are independent contractors, not employees or agents of SolsticeSoft. Lawyers are solely responsible for:
- Their own legal work and professional judgment
- Compliance with professional regulations and ethics rules
- Payment of their own taxes and business expenses
- Their own professional liability and malpractice claims
4.3 Client Engagement
Lawyers must establish clear engagement terms with clients, including:
- Scope of representation
- Fee structure and billing practices
- Expected timelines and deliverables
- Communication protocols
5. Client Obligations
5.1 Accurate Information
Clients must provide:
- True, accurate, and complete information in all immigration assessments and applications
- Timely updates if any information changes
- All relevant documents and information requested by their lawyer
5.2 Communication and Cooperation
Clients agree to:
- Respond promptly to requests from their lawyer
- Cooperate in good faith throughout the representation
- Pay agreed-upon fees in a timely manner
- Follow their lawyer’s professional advice and guidance
5.3 Understanding of Services
Clients acknowledge that:
- Immigration outcomes are not guaranteed
- SolsticeSoft does not control immigration decisions by government authorities
- Additional fees may apply for services beyond the initial assessment
6. Fees and Payment
6.1 Lawyer Subscription Fees
Lawyers pay a monthly or annual subscription fee to access the immiPlus platform. Subscription fees:
- Are billed in advance on a recurring basis
- Are non-refundable except as required by law
- May be modified with 30 days’ notice
- Are processed securely through Stripe
6.2 Client Fees
Clients may incur fees for:
- Legal services provided by their lawyer (billed separately by the lawyer)
- Premium features or services offered through the platform
6.3 Payment Processing
All payments are processed by Stripe. By providing payment information, you authorize us to charge your payment method. You agree to:
- Provide accurate and complete payment information
- Update payment information if it changes
- Pay all fees when due
6.4 Refund Policy
Subscription fees are generally non-refundable. We may offer refunds at our sole discretion in cases of:
- Technical errors or service outages
- Duplicate charges
- Compliance with applicable consumer protection laws
7. Intellectual Property Rights
7.1 Our IP Rights
SolsticeSoft and its licensors own all rights, title, and interest in:
- The platform’s software, code, and technology
- Our trademarks, logos, and branding
- All content we create (text, graphics, designs, etc.)
- Our proprietary algorithms and AI models
7.2 Limited License
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for their intended purposes. You may not:
- Copy, modify, or distribute our software or content
- Reverse engineer, decompile, or disassemble our platform
- Remove or alter copyright notices or trademarks
- Use our Services to create competing products or services
7.3 Feedback and Suggestions
If you provide feedback, suggestions, or ideas to us, you grant us a perpetual, irrevocable, royalty-free license to use them without compensation or attribution.
8. User Content and Data
8.1 Your Content
You retain ownership of content you submit through our platform (“User Content”). By submitting User Content, you grant us a license to:
- Store, process, and transmit your content to provide our Services
- Share your content with your designated lawyer
- Use anonymized data for analytics and AI training
8.2 Content Representations
You represent and warrant that your User Content:
- Does not violate any laws or third-party rights
- Is accurate and not misleading
- Does not contain viruses, malware, or harmful code
- Does not infringe intellectual property rights
8.3 Data Privacy
Our collection, use, and protection of your personal data is governed by our Privacy Policy. By using our Services, you consent to our data practices as described in the Privacy Policy.
9. Prohibited Conduct
You agree NOT to:
9.1 Illegal Activities
- Use our Services for any unlawful purpose
- Violate any applicable laws or regulations
- Engage in fraud, misrepresentation, or identity theft
- Submit false or misleading information
9.2 Platform Abuse
- Attempt to gain unauthorized access to our systems
- Interfere with or disrupt our Services
- Use automated tools (bots, scrapers) without permission
- Introduce viruses or malicious code
- Overload our servers or infrastructure
9.3 Content Violations
- Upload harmful, offensive, or inappropriate content
- Violate intellectual property rights
- Distribute spam or unsolicited communications
- Impersonate others or misrepresent your identity
9.4 Commercial Misuse
- Resell or redistribute our Services without authorization
- Use our platform to compete with us
- Extract data for commercial purposes without consent
10. Termination and Suspension
10.1 Termination by You
You may terminate your account at any time by:

- Canceling your subscription through the dashboard (for lawyers)
Termination does not entitle you to a refund of any fees already paid.
10.2 Termination by Us
We may suspend or terminate your access immediately, with or without notice, if:
- You violate these Terms
- You engage in fraudulent or illegal activities
- Your account has been inactive for an extended period
- We are required to do so by law
- We discontinue the Services (with reasonable notice)
10.3 Effect of Termination
Upon termination:
- Your right to access and use the Services immediately ceases
- We may delete your account and data (subject to legal retention requirements)
- Outstanding fees remain due and payable
- Provisions that should survive (e.g., indemnification, disclaimers) remain in effect
11. Disclaimers and Warranties
11.1 “As Is” Services
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.
We disclaim all warranties, including:
- Merchantability and fitness for a particular purpose
- Non-infringement of third-party rights
- Accuracy, reliability, or completeness of content
- Uninterrupted or error-free operation
- Security or freedom from viruses
11.2 No Guarantee of Results
We do not guarantee:
- That you will obtain any specific legal outcome
- That immigration applications will be approved
- That our AI analysis is 100% accurate
- That lawyers will meet your expectations
11.3 Third-Party Services
Our platform may integrate with third-party services (e.g., Stripe, OpenAI). We are not responsible for:
- The availability or reliability of third-party services
- The accuracy of third-party content or data
- Any loss or damage caused by third-party services
12. Limitation of Liability
12.1 Exclusion of Damages
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SOLSTICESOFT AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR:
- Indirect, incidental, special, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Cost of substitute services or lost goodwill
- Damages arising from unauthorized access to your account
- Legal malpractice or professional errors by lawyers using our platform
12.2 Cap on Liability
Our total liability to you for any claims arising from these Terms or your use of our Services shall not exceed:
- The amount you paid us in the 12 months preceding the claim, OR
- CAD $100, whichever is greater
12.3 Basis of the Bargain
These limitations reflect the allocation of risk between us. Our pricing and willingness to provide the Services are based on these limitations.
13. Indemnification
You agree to indemnify, defend, and hold harmless SolsticeSoft and its affiliates, officers, directors, employees, agents, and licensors from any claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from:
- Your use or misuse of our Services
- Your violation of these Terms
- Your violation of any laws or third-party rights
- Your User Content or data
- Any professional services provided by lawyers (for lawyer users)
- Your negligence or willful misconduct
We reserve the right to assume exclusive defense and control of any matter subject to indemnification, at your expense.
14. Dispute Resolution
14.1 Governing Law
These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
14.2 Jurisdiction
You agree to submit to the exclusive jurisdiction of the courts located in Ontario, Canada for any disputes arising from these Terms or your use of our Services.
14.3 Informal Resolution
Before filing any legal claim, you agree to first contact us at Hello@immiguide.info and attempt to resolve the dispute informally for at least 30 days.
14.4 Class Action Waiver
To the extent permitted by law, you agree that any dispute will be resolved on an individual basis and not as part of a class action, consolidated action, or representative proceeding.
15. General Provisions
15.1 Modifications to Terms
We may modify these Terms at any time. Changes will be effective:
- Immediately upon posting for non-material changes
- 30 days after notice for material changes
Continued use after modifications constitutes acceptance of the new Terms.
15.2 Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and SolsticeSoft regarding the Services.
15.3 Severability
If any provision of these Terms is found invalid or unenforceable, that provision will be limited or eliminated to the minimum extent necessary, and the remaining provisions will remain in full force.
15.4 Waiver
Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.
15.5 Assignment
You may not assign or transfer these Terms or your account without our written consent. We may assign these Terms to any affiliate or successor without restriction.
15.6 Force Majeure
We are not liable for any failure or delay in performance due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, pandemics, or internet disruptions.
